Terms of Service

Quichub Innovations LLP · Effective 25 June 2026

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Merchant") and Quichub Innovations LLP, a limited liability partnership registered in India ("QuicShop", "we", "us"), governing your access to and use of the QuicShop platform — including the Seller App, Seller Console, and the Storefront infrastructure we provide ("Platform").

By creating an account, activating a subscription, or using any part of the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

  • You must be at least 18 years old.
  • You must have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent.
  • You must be operating a lawful business under applicable Indian law.

3. The Platform

QuicShop is a cloud-based SaaS e-commerce infrastructure platform that enables merchants to build, manage, and operate online stores. It is provided as three connected surfaces:

  • Seller App — mobile application for daily store operations
  • Seller Console — web dashboard for store setup, configuration, and design
  • Storefront — buyer-facing storefront served on the merchant's domain

We reserve the right to modify, suspend, or discontinue features of the Platform with reasonable notice. We will not make material changes that significantly reduce core functionality without giving you 30 days' prior notice.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@quicshop.in if you suspect unauthorised access. We are not liable for losses arising from your failure to secure your credentials.

5. Subscriptions and payment

Access to the Platform requires a paid subscription. Fees are as stated on our Pricing page at the time of your subscription. We may update pricing with 30 days' advance notice; continued use after the notice period constitutes acceptance of the new pricing.

  • Subscriptions are billed in advance on a monthly or annual basis.
  • All fees are in Indian Rupees (₹) and exclusive of applicable GST.
  • Failed payments may result in suspension of your account until payment is recovered.
  • There is no transaction surcharge on orders processed through your QuicShop store.

6. Refunds and cancellation

Our refund policy is set out in full on the Refund Policy page. In summary: you may claim a refund of one month's licence fee within 30 days of your store going live. Implementation and onboarding charges are non-refundable once work has commenced.

You may cancel your subscription at any time from the Seller Console. Cancellation stops future billing but does not delete your store data immediately; data is retained for 30 days after cancellation and then permanently deleted.

7. Merchant obligations

As a Merchant you agree to:

  • Provide accurate business information, including a valid GSTIN where applicable, and keep it current.
  • Comply with all applicable Indian laws including the Consumer Protection Act 2019, Information Technology Act 2000, DPDP Act 2023, GST legislation, and any sector-specific regulations.
  • Honour orders placed by customers on your storefront and handle customer grievances in accordance with applicable law.
  • Not use the Platform to sell prohibited goods or services (see §8 below).
  • Obtain all necessary licences, registrations, and consents required for your business and products.

8. Acceptable use

You must not use the Platform to:

  • Sell illegal, counterfeit, or prohibited goods or services under Indian law.
  • Transmit malware, spam, or engage in phishing or fraudulent activity.
  • Violate the intellectual property rights of any third party.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
  • Probe, scan, or test the vulnerability of the Platform or its infrastructure.
  • Resell or sublicense access to the Platform without our written consent.

We may suspend or terminate your account immediately if we determine, in our reasonable judgement, that you have violated this section.

9. Data and privacy

Our collection and use of personal data is governed by our Privacy Policy. With respect to data roles:

  • Merchant data: QuicShop acts as Data Fiduciary under the DPDP Act 2023.
  • End-customer data: QuicShop acts as Data Processor on your behalf. You, the Merchant, are the Data Fiduciary for your customers' data and are responsible for obtaining all necessary consents and handling customer data-rights requests.

In the event of a data breach affecting your end-customers' data, QuicShop will notify you promptly. You are responsible for notifying your customers and the Data Protection Board as required by law.

10. Intellectual property

QuicShop and its licensors retain all rights to the Platform, its software, design, and documentation. These Terms do not grant you any ownership interest in the Platform.

You retain ownership of your store content, product data, and brand assets that you upload to the Platform. You grant QuicShop a limited, non-exclusive licence to host, display, and process that content solely to provide the Platform services.

11. Third-party services

The Platform integrates with third-party providers including payment gateways (Razorpay), logistics (Shiprocket), and communication providers (WhatsApp Business API, DLT-registered SMS). Your use of those services is subject to the third party's own terms and privacy policies. QuicShop is not responsible for the acts or omissions of third-party providers.

12. Uptime and support

We target high availability for the Platform and will communicate scheduled maintenance in advance. Unplanned outages will be communicated via our status page. We do not provide a financially backed SLA at this time; if this changes it will be set out in a separate agreement.

13. Disclaimer of warranties

The Platform is provided "as is" and "as available." To the maximum extent permitted by applicable law, QuicShop disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

14. Limitation of liability

To the maximum extent permitted by applicable Indian law, QuicShop's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the subscription fees you paid to us in the three months preceding the claim.

In no event shall QuicShop be liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, data, or goodwill, even if advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless QuicShop and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your content or products; (c) your violation of these Terms or applicable law; or (d) a claim by your customers against QuicShop arising from your acts or omissions.

16. Term and termination

These Terms remain in effect for as long as you hold an active subscription. Either party may terminate for material breach if the breach is not remedied within 15 days of written notice. We may terminate your account immediately for violations of §8 (Acceptable use) or for non-payment. On termination, your access to the Platform ceases and your data is handled per §6 above.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or prominent in-platform notice at least 15 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

18. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
